Mergers and Acquisitions


With many years of experience in this field, I understand the challenges in M&A transactions and work closely with my clients to provide efficient and practical solutions to each of the following aspects:

Tax Structure — help identify tax considerations, suggest tax savings opportunities afforded by the structure of the transaction and provide creative solutions to tax concerns that could impact the transaction.

Finance Structure — assist in structuring the transaction for the long term, comparing the options available and taking cash requirements and debt structure into consideration.
 
Due Diligence — examine financial information and perform:

Examination and analysis of business procedure and financial information; Examination of representations made regarding company profitability before shareholder compensation;  Sensitivity studies on future projected operations of the company to be acquired; and  Projected capital requirements to fund ongoing and projected operations. 
 
Financing — assist in finding financing, including making introductions to bankers, factors, potential investors, venture capitalists and other sources of capital.

Financial Forecasts — prepare long-term financial forecasts using various assumptions to  determine financial viability.

Contract Structuring — assist in structuring and examining the documents pertinent to the negotiations.

Identifying Potential Liabilities of Pension Plans and/or Multiemployer Plans — Review a company's current actuarial reports for its pension plans and/or multiemployer plans, searching for significant unfunded liabilities that have not been reflected on a company's balance sheet.

Analyzing Systems — analyze the information and reporting system to determine whether the computer environment and the accounting and operational systems are appropriate. Where they are not, recommendations for improvements to the system capabilities will be offered.

Organizational/Operational Planning — evaluate the organizational structure to determine its effectiveness, and, if needed, recommend changes to enhance productivity and efficiency.
